Terms of Use (User Agreement)

1) About the Services

Nicki helps you discover cozy homewear, save structured details of items, create and record mix-and-match outfit combinations, and manage personal collections to stay inspired.

2) Eligibility

You must be at least 17 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.

3) Accounts

• You agree to provide accurate information and keep it updated.
• You are responsible for keeping your account credentials confidential.
• You must notify us promptly of any unauthorized use or security breach.

4) User Content

“User Content” means any content you submit to the Services, including photos/images, item details, lists, notes, tags, and support communications.

You retain ownership of your User Content. To operate the Services, you grant Nicki Team a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process your User Content solely to provide, maintain, and improve the Services and as otherwise permitted by law and our Privacy Policy.

You represent and warrant that you have the necessary rights to provide User Content and that it does not violate law or third-party rights.

5) Optional image/text processing (including AI‑assisted features)

Some features may offer optional image or text processing (which may be AI‑assisted) to help you organize items or generate styling ideas.

• You control whether to upload content and whether to generate outputs.
• You are responsible for the content you upload and how you use generated outputs.
• We may refuse, limit, or disable these features to prevent abuse, protect users, or comply with law.

6) Prohibited conduct

You agree not to:

• Use the Services for illegal purposes or in violation of applicable law.
• Harass, threaten, defame, or harm others.
• Attempt to gain unauthorized access to accounts, systems, or data.
• Interfere with or disrupt the Services (including malware or harmful scraping).
• Reverse engineer or attempt to derive source code except where prohibited by law.
• Create, store, or share content that is unlawful, hateful, exploitative, or otherwise objectionable.

7) Intellectual property

The Services, including all software, design, text, graphics, and trademarks (excluding User Content), are owned by or licensed to Nicki Team and are protected by intellectual property laws.

Subject to these Terms, Nicki Team grants you a limited, personal, non-transferable, non-exclusive, revocable license to use the Services for your personal, non-commercial use.

8) Fees

The Services may include free and/or paid features. Any fees, billing terms, and renewal terms will be disclosed to you before you complete a purchase.

9) Termination

You may stop using the Services at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms, created risk for others, or if required by law.

Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and dispute resolution.

10) Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the Services will be uninterrupted, error-free, or secure, or that any content (including generated outputs) will be accurate or suitable.

11) Limitation of liability

To the fullest extent permitted by law, Nicki Team will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses arising from or related to your use of the Services.

To the fullest extent permitted by law, Nicki Team’s total liability for any claim will not exceed the amount you paid to Nicki Team for the Services in the 12 months before the event giving rise to the claim (or, if you paid nothing, 100 USD).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12) Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Nicki Team from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or your User Content.

13) Governing law

These Terms are governed by the laws of the jurisdiction where Nicki Team is primarily established/operates, without regard to conflict-of-law principles, except where applicable law requires otherwise.

14) Dispute resolution — binding arbitration

Except for disputes that qualify for small claims court or claims seeking injunctive relief to stop unauthorized use or infringement of intellectual property rights, you and Nicki Team agree to resolve disputes through final and binding arbitration.

The arbitration will be conducted in English by a neutral arbitrator. The arbitration location and rules will be determined based on Nicki Team’s primary place of business and applicable law, unless the parties agree otherwise. Claims may be brought only on an individual basis, not as a class, collective, or representative action.

15) Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms and revise the Effective Date. Continued use of the Services after the update becomes effective means you accept the revised Terms.
